1.Date of occurrence of the event:2012/02/17 2.Company name:Pacific Liu Tung Investment Corp. 3.Relationship to the Company (please enter ”head office” or ”affiliate company”):Equity method investments 4.Reciprocal shareholding ratios:N/A 5.Cause of occurrence:The earthquake occurred in Japan (1)Taipei District Court ruled to assign three temporary receivers to PLT. In our opinion, the Company believes the ruling aforesaid is obviously a wrong-doing, which is against the relevant laws. FENC firmly protests against this ruling, and supports Far Eastern Department Stores (FEDS), the relevant party in this case, to appeal against this ruling. (2)The litigation on ownership of Liu Tung is currently in the trial process. The assignment of temporary receiver does not have any influence on either of the Company’s holding interests in Liu Tung or the daily operation of SOGO Department Stores. (3)According to the Corporate Law, the assignment of temporary receiver shall not be a disadvantage to the relevant company. Although Taipei District Court has already ruled to assign the temporary receivers, the Supreme Court may likely have different opinions regarding the case given that FEDS, the relevant party in this case, appeals against the ruling aforesaid. The assigned temporary receivers are kindly advised to carefully consider any of their future decisions regarding PLT, in order to prevent any unnecessary unrest to the society. 6.Countermeasures:NIL 7.Any other matters that need to be specified: Far Eastern Department Stores (FEDS), the relevant party in this case, is to appeal against the said ruling. |
